Well here seems to be the problem...

I think there is a bug with the driver for this card..

Ironically, I resolved the issue with an old Linksys card I found in our 
basement...

It stays connected and active when I reboot the router, or move the cable to 
another connection or port.

The other connect problem with the blackbox (D-Link DGL-3420 Wireless Gaming 
adapter), was that the router was setup with wpa2-auto -- which apparently is 
not supported.  So.. I downgraded slightly to plain ole WPA and things are 
working great!

There is one last thing to test...  During this whole mess, I read that I 
should disable the NTP service until this is resolved -- otherwise it will 
hang there.  I will see if I can get the ntp service to run with this new 
setup, confirming that the new NIC was indeed the fix.
