Do you want a device to just make the conversion or are you willing to
pay more for more features?
Do you download any video podcasts?
How into Linux are you?

I have a Neuros OSD that's close to what you want but I think it's more
than what you need.  The OSD can record any SD video on to attached 
USB/SecureDigital or Network drive.  It can also playback also any format
SD video.

It's also a little of a linux queen.  Some sysadmin experience is helpful.
