The IEEE sample agreement is a decent start, but if you're asking this 
question, you probably could use more help than just a sample agreement. 
  I'd suggest working with an attorney on at least the first few 
contracts to get a feel for the revevant issues, and then checking with 
an attorney every few years to learn how the revelant law may have 
changed.  It will cost a few dollars but is worth it.
