[lug] diff or sdiff

Hey all, I am trying to take 2 files which are 90%
alike and merge them together into one file
which would contain the contents of the 2 files
while preventing duplication of information.

Question:
Will either diff or sdiff work for this.
If so, any help with proper syntax would help.
If not, what other program would work right.
